ReelStay Terms of Service

1. The Platform

ReelStay is a video native travel discovery and booking platform. Travelers can discover accommodations through short form video content and book stays; hosts can list and promote properties; creators and advisors can publish content and earn commissions on attributed bookings.

ReelStay is a marketplace and technology platform. We are not a party to any rental agreement between guests and hosts, we do not own, manage, or inspect listed properties, and we do not guarantee the accuracy of any listing or the conduct of any user.

Bookings and payment.Certain accommodations available through the Platform are supplied and fulfilled by third party suppliers, including Expedia Group and its affiliates, which may act as the merchant of record for such bookings. Your booking of such accommodations is additionally subject to the supplier's terms, conditions, and cancellation policies as displayed at checkout. ReelStay is not responsible for the acts or omissions of any supplier or property.

2. Eligibility and Accounts

• You must be at least 18 years old and able to form a binding contract to use the Platform.
• You must provide accurate, complete, and current information and keep it updated.
• You are responsible for safeguarding your credentials and for all activity under your account.
• We may refuse, suspend, or terminate any account at any time, for any reason or no reason, with or without notice, in our sole discretion.

3. Definitions

"User Content" means any and all content you upload, submit, post, publish, stream, transmit, or otherwise make available on or through the Platform in any form, including without limitation videos, reels, clips, audio, music you have licensed, photographs, images, property listings, property descriptions, itineraries, collections, reviews, ratings, comments, captions, text, profile information, names, usernames, images of persons, voices, and likenesses contained in any of the foregoing.

"Listing Content" means User Content submitted by or on behalf of a host in connection with a property, including property photographs, videos, descriptions, amenity information, and pricing.

4. Your Representations and Warranties About User Content

Each time you submit User Content, you represent and warrant, on a continuing basis and as remade upon each submission, that:

1. You own the User Content or have obtained all rights, licenses, consents, releases, and permissions necessary to grant the license in Section 6, including from every identifiable person appearing in the content and from the owner of any property depicted where required.
2. The User Content does not and will not infringe, misappropriate, or violate any third party right, including copyright, trademark, patent, trade secret, right of privacy, or right of publicity.
3. The User Content is accurate and not misleading, and any review or rating reflects your genuine experience.
4. If your User Content constitutes an endorsement or you have a material connection to a property, brand, or ReelStay (including participation in Travel & Earn or any commission program), you have made and will maintain all disclosures required by applicable law, including the FTC Endorsement Guides.
5. Any music, footage, or other third party material embedded in your User Content is properly licensed for the full scope of the license granted in Section 6.

5. Ownership

As between you and ReelStay, you retain ownership of your User Content, subject to the license granted below. The Platform, including all software, design, text, graphics, logos, trademarks, data, algorithms, and all content created by ReelStay, is and remains the exclusive property of ReelStay and its licensors. No rights are granted to you except the limited right to use the Platform in accordance with these Terms.

6. Sharing Your Content: The License You Give Us

ReelStay works because great content travels. When you post a reel, listing, itinerary, or anything else on ReelStay, you are giving us permission to put it in front of travelers everywhere — in the app, on the web, and in the marketing that grows the platform for everyone. Here is what that means, in plain terms, followed by the formal legal grant.

In plain terms:

• We can share and promote your content anywhere. That includes the ReelStay app and website, social media, paid advertising, partner sites, email, press, and channels that don't exist yet. Getting your content seen is the whole point of the platform, and this is how we do it at scale — we don't need to come back and ask each time.
• Credit is our default instinct, not our obligation. Where a placement supports it and your social accounts are verified, we may tag you or invite you to collaborate on posts featuring your content. Accepting a tag or collab is always your choice, and declining one never affects your account, your earnings, or this license. Equally, some formats and placements don't support tagging, so we can't promise credit on every use.
• The permission doesn't expire. If you delete your content or your account, it stops being visible on your profile, but the permission you gave us continues — including for content already woven into campaigns, compilations, and past posts, and for future organic and paid uses, with or without tagging. This is what lets us build durable marketing without rebuilding it every time an account changes.
• You still own your content. This is a permission, not a transfer. You can keep posting the same content anywhere else you like — TikTok, Instagram, YouTube, your own site. Nothing here is exclusive to ReelStay.

The formal grant.By submitting User Content, you grant ReelStay a worldwide, perpetual, irrevocable, non exclusive, royalty free, fully paid up, sublicensable (through multiple tiers), and transferable license to use, host, store, cache, reproduce, copy, distribute, transmit, publicly display, publicly perform, broadcast, stream, translate, modify, adapt, edit, crop, excerpt, reformat, create derivative works of, promote, market, advertise, and otherwise exploit your User Content, in whole or in part, in any and all media, formats, and channels now known or hereafter developed, in both organic and paid media, for any purpose, including operating, improving, and promoting the Platform and ReelStay's business; advertising and promoting any property, listing, destination, or booking; syndication and distribution to third party sites, partners, suppliers, and advertising networks; training, testing, and improving software, recommendation systems, and machine learning or artificial intelligence models operated by or for ReelStay; and archival and internal business purposes. No further notice, permission, approval, or compensation is required for any use permitted by this license, and ReelStay has no obligation to use, publish, credit, tag, or maintain any User Content.

Tagging and collaboration. ReelStay may, in its discretion, credit, tag, or invite you to collaborate on media featuring your User Content on accounts verified with the applicable social platform. Tagging and collaboration are offered as a courtesy, are not a condition or requirement of this license, and may be accepted or declined by you at your option. The presence, absence, acceptance, or decline of any tag or collaboration does not limit, condition, or modify the license granted in this Section.

Name, image, likeness, and voice. You grant ReelStay the right to use your name, username, image, likeness, voice, biographical information, and persona, and those of any person appearing in your User Content (for whom you warrant you have obtained consent), in connection with the uses described above, including in advertising and promotional materials, without further notice, approval, or compensation.

Moral rights. To the maximum extent permitted by applicable law, you irrevocably waive, and agree not to assert, any moral rights or rights of attribution or integrity in your User Content against ReelStay, its sublicensees, and assignees.

Survival. This license survives removal of User Content and termination or deletion of your account, including with respect to (a) copies retained in backups and archives, (b) User Content already incorporated into advertising, marketing, compilations, or derivative works, (c) continued organic and paid media uses, with or without tagging, and (d) sublicenses already granted.

Listing Content. Without limiting the foregoing, hosts specifically authorize ReelStay to advertise, market, promote, and distribute their properties and Listing Content through any channel, including paid media, to feature listings in creator content, campaigns, and third party placements, and to make non material edits to Listing Content for formatting and quality, all without prior approval.

Feedback. Any ideas, suggestions, or feedback you provide are assigned to ReelStay upon submission, and ReelStay may use them without restriction or compensation.

7. Creator and Advisor Programs

Participation in Travel & Earn, Keyholders, advisor storefronts, or any commission or payout program is subject to the applicable program terms, which supplement these Terms. Commissions accrue only on completed, non refunded, properly attributed bookings as determined by ReelStay's attribution systems, whose determinations are final. ReelStay may modify, suspend, or terminate any program, rate, or payout structure at any time. You are solely responsible for taxes on amounts paid to you and for compliance with all advertising disclosure laws.

8. Prohibited Conduct

You will not: use the Platform for any unlawful purpose; post false, misleading, infringing, defamatory, or discriminatory content; circumvent or attempt to circumvent booking flows, fees, or attribution systems; scrape, harvest, or use automated means to access the Platform; reverse engineer any portion of the Platform; interfere with the Platform's operation or security; misrepresent your identity or affiliation; or use another user's account.

9. Booking, Payment, and Cancellation

• Bookings are confirmed when payment is successfully processed and, where applicable, confirmed by the supplier.
• You agree to pay all charges, taxes, and fees displayed at checkout. Currency conversion may apply.
• Each property's cancellation policy is displayed before booking and governs refunds. Supplier fulfilled bookings are additionally governed by the supplier's policies.
• ReelStay may collect service fees and may change its fees prospectively at any time.
• ReelStay may withhold, offset, or claw back payouts in cases of suspected fraud, chargebacks, refunds, attribution abuse, or violation of these Terms.

10. Host Obligations

Hosts are solely responsible for: the accuracy of their listings; the safety, habitability, and legality of their properties; obtaining all permits, licenses, and insurance; compliance with zoning, short term rental, tax, and anti discrimination laws; and honoring confirmed bookings. Hosts appoint ReelStay as a limited agent solely for marketing and distribution of their Listing Content as described in Section 6.

11. Copyright Policy (DMCA)

ReelStay respects intellectual property rights and responds to notices of alleged infringement that comply with the Digital Millennium Copyright Act. Notices should be submitted to our designated agent through the legal request form at myreelstay.com/legal, and must include the information required by 17 U.S.C. § 512(c)(3). We will remove infringing content and terminate repeat infringers in appropriate circumstances.

12. Disclaimers

THE PLATFORM AND ALL CONTENT, LISTINGS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR FREE OPERATION. REELSTAY DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY LISTING, PROPERTY, USER CONTENT, OR USER, AND DOES NOT ENDORSE ANY USER OR PROPERTY. YOU USE THE PLATFORM AND BOOK ACCOMMODATIONS AT YOUR OWN RISK.

AI features. THE PLATFORM INCLUDES ARTIFICIAL INTELLIGENCE FEATURES, INCLUDING RECOMMENDATIONS, SEARCH, AND CONVERSATIONAL ASSISTANTS (INCLUDING CREATOR STYLED ASSISTANTS). AI GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL AND INSPIRATIONAL PURPOSES ONLY, MAY BE INCOMPLETE, OUTDATED, OR INACCURATE, AND DOES NOT CONSTITUTE TRAVEL, LEGAL, VISA, HEALTH, SAFETY, OR FINANCIAL ADVICE. AI ASSISTANTS ARE NOT HUMANS, AND RESPONSES FROM A CREATOR STYLED ASSISTANT ARE NOT STATEMENTS, RECOMMENDATIONS, OR ENDORSEMENTS OF THE NAMED INDIVIDUAL. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING PRICES, AVAILABILITY, PROPERTY DETAILS, AND ENTRY, VISA, AND HEALTH REQUIREMENTS BEFORE BOOKING OR TRAVELING. THE BINDING TERMS OF ANY BOOKING ARE THOSE DISPLAYED AT CHECKOUT, NOT AI OUTPUT. REELSTAY DISCLAIMS ALL LIABILITY ARISING FROM RELIANCE ON AI GENERATED CONTENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) REELSTAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) REELSTAY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (i) THE SERVICE FEES YOU PAID TO REELSTAY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (ii) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN SUCH CASES LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

14. Indemnification

You agree to defend, indemnify, and hold harmless ReelStay and its officers, directors, employees, agents, licensors, suppliers, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your User Content, including any claim that it infringes or violates the rights of any person, including rights of publicity or privacy of persons appearing in it; (b) your use of the Platform; (c) your violation of these Terms or any law; (d) your property, hosting activity, or any stay booked at your property; (e) your failure to make required advertising disclosures; and (f) your interactions with other users. ReelStay may assume exclusive control of any matter subject to indemnification, in which case you will cooperate with our defense.

15. Termination

You may stop using the Platform at any time. We may suspend or terminate your access at any time, with or without cause or notice. Sections 4 through 6 and 11 through 18 survive termination, and the license in Section 6 survives as described therein.

16. Dispute Resolution, Arbitration, and Class Action Waiver

Informal resolution first. Before filing any claim, you and ReelStay agree to attempt informal resolution by submitting a written notice of dispute through the legal request form at myreelstay.com/legal (or, from us, by notice to your account email) and engaging in good faith discussion for at least 60 days.

Binding arbitration. Except for small claims court matters and claims for injunctive relief regarding intellectual property, any dispute arising out of or relating to these Terms or the Platform will be resolved exclusively by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules, before a single arbitrator, in Los Angeles County, California or remotely by video. The Federal Arbitration Act governs this provision.

CLASS ACTION AND JURY TRIAL WAIVER. ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU AND REELSTAY WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Mass filings. If 25 or more similar demands are filed by or with the assistance of coordinated counsel, the parties agree the demands will be batched and resolved in staged proceedings under JAMS mass arbitration procedures.

Attorneys' fees.In any arbitration or permitted court proceeding, the prevailing party is entitled to recover its reasonable attorneys' fees and costs, to the extent permitted by applicable law and the applicable arbitration rules.

Time limit on claims. To the maximum extent permitted by law, any claim arising out of or relating to these Terms or the Platform must be filed within one (1) year after the claim accrues, or it is permanently barred.

Injunctive relief. ReelStay may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, data, or Platform security, without the requirement of posting a bond.

Opt out. You may opt out of this arbitration provision by submitting a request through the legal request form at myreelstay.com/legal within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out.

17. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.

18. General

• Changes. We may modify these Terms at any time. Material changes will be notified by posting the updated Terms with a new effective date and, where required by law, additional notice. Continued use after the effective date constitutes acceptance.
• Assignment. You may not assign these Terms. ReelStay may assign them freely, including in connection with a merger, acquisition, or sale of assets.
• Entire agreement; severability. These Terms, together with the Privacy Policy and any program terms, are the entire agreement. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect.
• No waiver; no oral modification. Failure to enforce any provision is not a waiver. No statement by any ReelStay employee, agent, or support channel modifies these Terms; modifications are effective only when posted by ReelStay as an updated version of these Terms or set out in a written agreement signed by an authorized officer of ReelStay.
• Interpretation.Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against the drafting party.
• App stores. Use of our iOS or Android apps is additionally subject to the applicable app store terms; Apple and Google are third party beneficiaries of this section only.
• Export and sanctions. You represent you are not located in an embargoed jurisdiction and are not on any restricted party list.
• Force majeure. ReelStay is not liable for delays or failures caused by events beyond its reasonable control.
